Terms of Service & Licensing Agreement

1. Acceptance of Terms & Scope
By accessing or using the website, software applications, services, or platforms provided by RGM Software Services ("RGM", "we", "us", or "our"), including Manufacturing Vision ERP, Print Management Information Systems (PMIS), Job Shop ERP, and custom software enhancements, you ("Client", "User", or "Organization") agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind such entity.
2. Enterprise Software Licensing & Permitted Use
Subject to the terms of your Master Services Agreement (MSA) or software license agreement, RGM grants your organization a non-exclusive, non-transferable right to access and operate RGM enterprise software products for internal commercial operations.
Restrictions on Use:
- Reverse engineer, decompile, or disassemble core binary applications or database schemas except as permitted by law.
- Sublicense, lease, or resell RGM software licenses to third parties without prior written authorization.
- Bypassing or circumventing security controls, software activation keys, or access restriction mechanisms.
3. Intellectual Property Rights & Client Data Ownership
RGM Intellectual Property: All rights, titles, and interests in and to RGM software products, documentation, proprietary algorithms, database architecture, and custom code modules developed by RGM remain the sole intellectual property of RGM Software Services.
Client Data Ownership: The Client retains full, exclusive ownership of all operational, transactional, financial, and inventory data entered into or generated by RGM software installations. RGM claims no ownership rights over Client data.
4. Limitation of Liability & Warranties
RGM software systems are provided to streamline manufacturing and print plant operations. Except as explicitly set forth in a written service level agreement (SLA), software provided via web previews and standard distributions is provided "as is". In no event shall RGM Software Inc. be liable for indirect, incidental, special, or consequential damages (including loss of profits, production downtime, or business interruption) arising out of or in connection with the use of our software or services.
5. Governing Law & Jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal proceedings shall be submitted to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.
